Welcome to Vgen23, provided by Vgenomics India Private Limited ("Vgenomics," "we," "us," or "our"). These Terms of Use ("Terms") govern your access and use of the Vgen23 platform, including any content, functionality, analytics tools, products, or services offered through the platform (collectively, the "Services").
By accessing or using the Services, you agree to these Terms, our Privacy Policy, and any additional terms referenced herein, such as a separate written agreement between your institution and Vgenomics. If you do not agree, you must not access Vgen23.
By visiting, registering for, or using Vgen23, you represent that you are at least eighteen years of age or the age of majority in your jurisdiction, have the authority and capacity to enter into a legally binding agreement, and if accessing on behalf of an entity, have authority to bind that entity.
We may revise these Terms at our discretion. Changes are effective upon posting. Continued use constitutes acceptance. Review these Terms periodically.
Vgen23 is for research use only and is not intended for use in diagnostic procedures. It is a professional-use platform that standardizes the clinical genomics interpretation and reporting workflow across teams and sites. It aggregates evidence, supports collaboration, enforces templates and governance, maintains audit trails, and enables re-analysis workflows.
Vgen23 is for professional use by authorized healthcare professionals, researchers, clinicians, scientists, and other qualified users only. It is not intended for direct-to-consumer or patient self-use.
Case intake, triage, and role-based assignment.
Phenotype capture using structured terms, case notes, and document management.
Pipeline orchestration or integration and QC summaries.
Variant annotation and evidence collation.
Report templating, formatting, versioning, and sign-off workflow.
Audit trail showing who changed what, when, and why.
Reanalysis triggers and alerts.
Secure storage of genomic artifacts such as VCF and, where applicable, FASTQ.
Exports and integrations including LIS or LIMS, EMR interfaces where permitted, secure portals, and APIs.
Does not diagnose disease or provide a final clinical determination.
Does not provide prescriptive clinical management, drug, treatment, or management recommendations that substitute clinician judgment.
Does not support fetal medicine or prenatal diagnostic workflows.
Is not designed or marketed for patient self-use or direct-to-consumer use.
Does not make autonomous decisions. All outputs are decision-support artifacts requiring professional review and sign-off.

The Services and any outputs, suggestions, or classifications provided through Vgen23 do not constitute medical advice and are not a substitute for professional medical judgment.
Vgen23 supports qualified professionals in organizing and standardizing genomic analysis and reporting workflows. It does not provide a medical diagnosis.
You are solely responsible for verifying the accuracy of any data and for complying with all applicable laws and professional guidelines.
To access Vgen23, you must register for an account with accurate and complete information.
You are responsible for maintaining the confidentiality of your credentials and for all activities under your account. Notify us immediately of unauthorized use.
You will use the Services only for legitimate, lawful purposes and in compliance with these Terms and all applicable laws.
Do not violate applicable laws, regulations, or professional standards.
Do not submit data for which you lack necessary consents, authorizations, or legal bases.
Do not upload content containing viruses, malicious code, or harmful programs.
Do not reverse engineer, decompile, or disassemble any aspect of the Services.
Do not attempt to re-identify de-identified or anonymized data.
Do not interfere with or disrupt the operation of the Services.
Do not use the platform for prenatal diagnosis or fetal medicine workflows.
Do not export data outside the platform except through authorized export mechanisms.
Do not share credentials or allow unauthorized third parties to access your account.
Our Privacy Policy explains how we collect, use, and share personal data. By using the Services, you acknowledge you have read our Privacy Policy.
You are responsible for ensuring that any genomic or health-related data you submit has the necessary consents or legal bases under applicable laws, including the DPDPA 2023. For pediatric data, verifiable guardian consent must be obtained.
If you process personal data via Vgen23, you as the Data Fiduciary or party with primary data responsibility are solely responsible for fulfilling obligations towards data subjects.
All rights, title, and interest in Vgen23 are owned by or licensed to Vgenomics. Nothing in these Terms transfers ownership.
Subject to these Terms, Vgenomics grants you a limited, non-exclusive, non-transferable, revocable license to access and use Vgen23 for your internal professional purposes.
You retain ownership of your Submitted Data. By uploading data, you grant Vgenomics a non-exclusive, worldwide, royalty-free license to use, store, reproduce, modify, and process such data for providing and improving Vgen23 and as set forth in the Privacy Policy.
Any suggestions or feedback you provide may be used by Vgenomics without restriction or compensation.
Vgenomics may create Derived Data, as defined in the Privacy Policy, from your Submitted Data and from your use of the Services. "Derived Data" means any data, analyses, statistical information, or insights in aggregated, de-identified, or anonymized form that does not identify any individual patient or data principal.
You acknowledge and agree that Vgenomics owns all right, title, and interest in Derived Data, and grant Vgenomics a perpetual, irrevocable, worldwide, royalty-free license to use Derived Data for any lawful purpose, including providing and improving the platform and related services, product development, research including scientific, statistical, and medical research, analytics and benchmarking, model training and algorithm development, development of new products, tools, and services, aggregated publication, and commercial activities.
Vgenomics will not share identifiable personal data of patients or data principals with third parties for these purposes. Any third-party recipients of Derived Data are contractually prohibited from attempting to re-identify any individual.
For the avoidance of doubt, this section does not grant Vgenomics any rights to identifiable patient data beyond what is necessary to provide the Services as a Data Processor.
Where the Services allow user-generated content or collaboration, you are responsible for such content and must ensure it does not violate any law or third-party rights.
If you invite third-party collaborators, you are responsible for permissions, roles, and ensuring compliance with applicable laws.
Vgenomics provides the Services "as is" and "as available" without any warranties.
We do not warrant that the Services will be error-free, uninterrupted, or meet your requirements.
All warranties, express or implied, are disclaimed.
Vgenomics does not guarantee specific outcomes, results, or accuracy of data processed through Vgen23.
Vgenomics shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
Aggregate liability shall not exceed the total amount paid to Vgenomics in the twelve months preceding the event, or USD $1,000 if no payments were made.
These limitations reflect a fair allocation of risk.
You agree to defend, indemnify, and hold harmless Vgenomics from claims arising from your use of Vgen23 in violation of these Terms, data you submit, violation of third-party rights, breach of these Terms, or use for medical diagnoses or treatment decisions or other unauthorized use.
These Terms remain in effect while you use Vgen23.
You may stop using the Services at any time.
We may suspend or terminate access immediately for breach or unlawful conduct.
Upon termination, your access ceases immediately.
During the 30 days after termination, Customer Data, if any, is available for export in a commonly used format.
After 30 days, data is deleted within 90 days subject to backup cycles, legal holds, and the applicable Data Processing Agreement.
Provisions that should survive termination, including disclaimers, limitations of liability, and indemnification, will survive.
These Terms are governed by the laws of India.
Any dispute shall first be discussed in good faith for 30 days.
If unresolved, it shall be settled by arbitration under the Arbitration and Conciliation Act, 1996 by a sole arbitrator.
The seat and venue shall be New Delhi. Proceedings shall be in English.
Courts at New Delhi have exclusive jurisdiction for injunctive or equitable relief.
Entire Agreement: These Terms and the Privacy Policy constitute the full agreement. If your institution has a separate agreement with Vgenomics, it may supersede or supplement these Terms.
Severability: Unenforceable provisions are struck and the remaining provisions remain in force.
No Waiver: Failure to enforce a right is not a waiver.
Assignment: You may not assign rights without consent. Vgenomics may freely assign.
Force Majeure: Neither party is liable for delays beyond reasonable control.
